Terms of Service

These Terms of Service ("Terms") govern your engagement with Equals Design And Build (SSM 202103376576), trading as Equals Design Studio ("we", "us", "our"), for interior design, renovation, and related project management services in Malaysia. By engaging us — whether through this website, WhatsApp, email, or a signed quotation — you agree to these Terms.

1. Scope of services

We provide interior design, space planning, renovation, fit-out, and project management services for commercial and residential clients. The specific scope of any engagement will be defined in a written quotation or proposal issued by us and accepted by you.

2. Quotations and proposals

Quotations and proposals issued by us are valid for thirty (30) days from the date of issue unless otherwise stated. Quoted prices are based on the scope, materials, and conditions described at the time of issue. Changes to scope, materials, or site conditions may result in revised pricing, which will be communicated and confirmed before work proceeds.

3. Engagement and payment

Engagement begins upon acceptance of our quotation and payment of any deposit specified. Payment terms, milestones, and schedule will be set out in the quotation. Invoices are issued in accordance with the agreed schedule and are payable within the period stated on each invoice. We reserve the right to pause work where invoices remain outstanding beyond the agreed terms. Accepted payment methods and how payments are secured are described in our Payment & Security Policy, and cancellations and refunds are governed by our Refund & Cancellation Policy.

4. Variations and change orders

Any changes to the agreed scope of work — including additions, removals, or substitutions of materials, finishes, or layouts — must be documented as a variation order and may affect both cost and timeline. We will communicate any cost or schedule impact before proceeding with varied works.

5. Site access and conditions

You agree to provide safe, lawful, and timely access to the project site, including any necessary permissions from landlords, management corporations, or relevant authorities. We are not responsible for delays caused by access restrictions, third-party approvals, or undisclosed site conditions.

6. Intellectual property

All design concepts, drawings, renderings, specifications, and other creative work produced by us remain our intellectual property until the relevant project is paid for in full, at which point a non-exclusive licence to use those materials for the agreed project is granted to you. Unless explicitly agreed in writing, our work may not be reproduced, resold, or used for any other project without our consent.

7. Warranty and defects

We stand behind the workmanship of works delivered by us. Specific warranty terms (where applicable) will be set out in the relevant quotation or completion documentation. Manufacturer warranties on supplied products and materials are passed through as provided by the manufacturer.

8. Limitation of liability

To the extent permitted by Malaysian law, our total liability arising out of or in connection with any project is limited to the total fees paid by you to us under that engagement. We are not liable for any indirect, consequential, or incidental losses, including loss of profit, business interruption, or loss of opportunity.

9. Termination

Either party may terminate an engagement in writing if the other materially breaches these Terms and fails to remedy the breach within a reasonable period. On termination, you remain liable for all works completed and materials procured up to the date of termination.

10. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including project briefs, drawings, pricing, and business information, except where disclosure is required by law.

11. Governing law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Malaysian courts.

12. Updates to these Terms

We may update these Terms from time to time. The latest version will always be available on this page with the updated date noted above. Engagements are governed by the version of the Terms in effect at the time the relevant quotation is accepted.
